Uprooted Academy is a platform that provides students, counselors, and partner organizations with tools powered by Artificial Intelligence to support postsecondary planning, reduce stress, and build networks of care.

Because Uprooted Academy is designed for educational use cases, we adhere to applicable privacy laws as outlined in our Privacy Policy. This includes the Family Educational Rights and Privacy Act (FERPA).

By visiting, using, or accessing Uprooted Academy, every user (“user,” “you,” or “your”) agrees to the following Terms and Conditions (the “Terms” or the “Agreement”). These Terms form a legally binding agreement between you and Uprooted Academy (“Uprooted Academy,” “we,” “our,” or “us”) regarding your access to and use of our platform, websites, applications, AI tools, and related services (collectively, the “Platform” or “Services”).

By accessing the Platform in any way, you agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time, and your continued use of the Platform means you accept those changes.

1. Accounts

Uprooted Academy provides accounts to students, counselors, and partner organizations for educational purposes.

  • Accuracy of Information: You must provide accurate and complete information to register for an account. You may not share your login credentials outside your organization or school community.
     

  • Authority: If you use Uprooted Academy on behalf of a school or organization, you represent that you are authorized to accept these Terms on their behalf.
     

  • Age Restrictions: You must be at least 13 years old to create an account. If you are under 18, you must have permission from your parent, guardian, or school to use the Platform.
     

2. Privacy and School Use

  • Privacy Policy: Your privacy matters to us. Please review our Privacy Policy to understand how we collect, use, and protect information.
     

  • School Use: If you are a teacher, counselor, or school leader, you are responsible for ensuring compliance with FERPA and other applicable laws before providing student data. Schools and organizations are responsible for obtaining necessary notices or consents from parents or guardians. Uprooted Academy acts as a data processor, handling data only on behalf of schools and advisors.
     

3. Appropriate Use

Uprooted Academy is intended for educational purposes only. By using the Platform, you agree to:

  • Use the Services responsibly and in ways that support students and learning.
     

  • Recognize the limitations of AI technology, including the possibility of bias or inaccurate information, and review outputs for accuracy before relying on them.
     

  • Protect the privacy of students and avoid sharing personally identifiable information unnecessarily.
     

You may not:

  • Use the Services to post, upload, or share harmful, unlawful, discriminatory, or inappropriate content.
     

  • Use the Services for harassment, threats, academic dishonesty, or impersonation.
     

  • Attempt to gain unauthorized access to our systems, reverse engineer the platform, or interfere with its operation.
     

  • Sell, rent, or exploit the Services for purposes outside of education without our prior consent.
     

4. Content Ownership

  • Your Content: You own the information and inputs (“Content”) that you provide. You are responsible for ensuring your Content complies with these Terms and applicable laws.
     

  • AI Outputs: Outputs generated by Uprooted Academy may not be unique. Because of the nature of machine learning, other users may receive similar results.
     

  • Accuracy: AI outputs may contain errors or incomplete information. You should independently verify important details before relying on them.
     

5. Fees and Payments

Some Services may be provided through paid school or organizational contracts. Payment terms will be outlined in separate agreements. Unless otherwise agreed in writing, payments are nonrefundable.

6. Data Protection and Security

We take privacy and security seriously. Please review our Privacy Policy for details. Key measures include:

  • Encryption: All data is encrypted at rest and in transit.
     

  • SOC 2 Type I Compliance: Our systems and controls have been independently audited.
     

  • Vendors: We use trusted providers including AWS for hosting, Open AI for AI, Zendesk for support tickets, and Statuspage for uptime and outage communications.
     

  • Breach Notifications: In the event of a confirmed data breach, we will notify affected schools and individuals by email within legally required timeframes.
     

7. Termination

You may stop using the Platform at any time by closing your account. We may suspend or terminate your access if you violate these Terms, misuse the Services, or pose security risks to other users.

8. Disclaimers and Limitation of Liability

The Services are provided “as is” for educational purposes. We do not guarantee that AI outputs will always be accurate, complete, or free from bias. To the maximum extent allowed by law, Uprooted Academy disclaims liability for indirect, incidental, or consequential damages. Our total liability for any claim related to the Services will not exceed one hundred dollars ($100) or the amount paid to us in the past twelve months, whichever is greater.

9. Dispute Resolution and Arbitration

  • Informal Resolution: We encourage you to contact us first to resolve any concerns informally at [Insert Email]. We will make reasonable efforts to address your issue within 60 days before formal proceedings begin.
     

  • Mandatory Arbitration: Except as provided below, you and Uprooted Academy agree to resolve any disputes related to these Terms or the Services through binding arbitration rather than in court. Arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association.
     

  • No Class Actions: You may bring claims only on your own behalf, not as part of a class or group action. Class actions, class arbitrations, and representative claims are not permitted.
     

  • Exceptions: You may bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual property or unauthorized use of the Services.
     

  • Opt Out: You may opt out of arbitration within 30 days of accepting these Terms by emailing us at [Insert Email] with the subject line “Arbitration Opt-Out.”
     

10. General Terms

  • Intellectual Property: You may not use Uprooted Academy’s name, logo, or trademarks without our written consent.
     

  • Changes to the Terms: We may update these Terms periodically. Updates will be posted with a revised date. Your continued use of the Platform constitutes acceptance.
     

  • Jurisdiction: Except as provided in the Arbitration section, these Terms are governed by the laws of the State of California. Any disputes not subject to arbitration will be resolved in the courts of Los Angeles County, California.
     

  • Entire Agreement: These Terms, along with our Privacy Policy, represent the entire agreement between you and Uprooted Academy regarding use of the Services.
